Terms of service

Plain-language terms for the design-partner phase. A counsel-reviewed version will replace these before general availability; pilot engagements are additionally governed by their signed pilot agreement.

The service

Paraph provides a system of record and human-oversight layer for AI agents: event ingestion, tamper-evident storage, approval gates, notifications, and evidence exports. During the design-partner phase the service is provided as-is, without an uptime SLA; we operate it with production discipline and tell you honestly when something breaks.

Your account and acceptable use

Keep credentials confidential — API keys authenticate your agents and are your responsibility once issued. Don’t use the service to store content you lack rights to, to attack third parties, or to probe other tenants. We may suspend accounts that endanger the platform or other customers, and will tell you why.

Your data

Run records, approvals, and exports are your data. You grant us only the rights needed to operate the service (store, process, display to your workspace, deliver your webhooks, produce your exports). We don’t train models on your data and we don’t sell it. On termination you may export everything; we then delete per the retention terms of your agreement.

Our IP

The service, SDKs, and site are ours. SDK packages carry their own license (use with the service; no redistribution). Feedback you give us may be used to improve the product without obligation.

Fees

Pilot fees are stated in the pilot agreement. Post-pilot pricing is agreed in writing before any renewal charge exists — there is no auto-conversion from a pilot.

Liability

To the maximum extent permitted by law, our aggregate liability is capped at the fees you paid in the twelve months before the claim, and neither party is liable for indirect or consequential damages. Nothing here limits liability that cannot lawfully be limited.

Termination & changes

Either party may terminate per the pilot agreement, or with 30 days’ notice otherwise. We may update these terms; material changes are notified to your account email with 14 days’ notice. Governing law and venue will be fixed in the counsel-reviewed version; until then, disputes are first addressed in good faith between the parties.
